CONSTITUTION OF THE JOLIET BICYCLE CLUB, INCORPORATED
The name of this organization shall be: The Joliet Bicycle Club, Inc. The Joliet Bicycle Club (JBC, the Club) was incorporated in January 1987 in the State of Illinois.
AIMS
The aims of the Club shall be:
-To promote a greater
public awareness of the pleasures, benefits and usefulness of bicycling.
-To provide a service
to our locality in all areas that involve bicycling.
-To advocate the
rights and responsibilities of bicyclists.
-To improve
conditions for bicycling.
-To provide for
bicycle education.
-To provide
opportunities for bicyclists of all ages to socially interact and share their
ideas and experiences in an organized manner.
MEMBERSHIP
Anyone who is 18 years or older who is sincerely interested in promoting the Club’s aims is eligible for membership. Children under the age of 18 are eligible when they are listed as being part of a family membership.
FINANCES
The Club’s membership dues shall be set each year at the annual banquet. All dues and funds shall be made payable to and deposited in the accounts of the Joliet Bicycle Club, Inc. Funds will be deposited at the discretion of the Executive Board. Liability insurance shall be purchased annually for the Club.
OFFICERS
The following positions are elected by the membership:
President, Vice-President, Secretary and Treasurer. These offices shall constitute the executive board and shall be assisted/supported by various committees and chairs.
The President is responsible for the overall direction of the Club. Duties of the President include but are not limited to:
1) Scheduling regular board meetings before all general meetings.
2) Presiding at the monthly general meetings.
3)
Representing and preserving the Club’s best interests in all actions.
4) Review the Secretary’s minutes and Treasurer’s report for accuracy.
5) Obtain volunteers to work on the various committees or chairs.
6) Keep informed and take appropriate action regarding bicycle related items which may impact the Club or its’ members.
7) Encourage new cycling related activities for Club members.
8) Keep informed and take appropriate action on all Club activity.
The Vice-president’s duties include the following but are not limited to:
1) Presides over meetings in the absence of the President.
2) Responsible for conducting an annual audit of the Club’s financial records.
3) Assume other assignments as requested by the President.
The Secretary’s duties include the following but are not limited to:
1) Take accurate notes of the proceedings of all Club meetings.
2)
Present the minutes of the last meeting at Club meetings.
3) Attend to any Club correspondence including letters that need to be sent, thank-you notes, etc.
4) Handle publicity releases to bicycling publications and/or local newspapers.
5) Maintaining and archiving the Club’s legal documents.
The Treasurer’s duties include the following but are not limited to:
1) Deposit all monies into the Club’s account.
2) Record incomes/expenses. Keep financial records balanced and up to date.
3) Remove mail from the Club’s Post Office box.
4) Distribute mail to applicable officers, committees or chairs.
5) Pay all Club bills promptly.
Article VI
ELECTIONS
Election of Club officers shall be held annually. A nominating committee appointed by the president shall present a list of candidates for the offices to be filled. Additional names may be placed into nomination from the general membership immediately prior to the election. A plurality vote shall be necessary to elect.
Article VII
General meetings are
open to the entire Club membership and shall be held monthly, unless otherwise
noted. Ten members present shall constitute a quorum.
Board meetings shall
be held before general meetings.
A Club banquet shall
be held each year. Election of officers shall occur at the banquet.
Club sponsored
activities shall be arranged throughout the year if there is sufficient
interest.

AMENDING
THE CONSTITUTION
This constitution may
be amended by a two-thirds vote of those members present and voting at any
general meeting provided the members are notified a minimum of 10 days prior
to the date of the meeting.
